“بان القابضة” تقر تحويل 263.6 مليون ريال من رصيد علاوة الإصدار لإطفاء الخسائر المتراكمة

وافقت الجمعية العامة غير العادية لمجموعة بان القابضة في اجتماعها بتاريخ 28 يونيو الحالي على تحويل مبلغ من حساب علاوة الإصدار الناشئ عن زيادة رأس المال لإطفاء خسائر متراكمة بقيمة 263.64 مليون ريال وتفويض مجلس الإدارة باستكمال المتطلبات النظامية والمحاسبية الخاصة بذلك.

وذكرت الشركة في بيان على “تداول السعودية” اليوم الاثنين أن المساهمين وافقوا على إبراء ذمة أعضاء مجلس الإدارة عن عام 2025.

وكانت الشركة قد أعلنت في مايو الماضي خطة للتعامل مع الخسائر المتراكمة منها التوصية للجمعية العامة غير العادية بتحويل كامل رصيد علاوة الإصدار الناتج عن زيادة رأس المال إلى حساب الأرباح المبقاة، وذلك بهدف إطفاء كامل رصيد الخسائر المتراكمة للشركة، بعد استكمال المتطلبات النظامية والحصول على الموافقات ذات العلاقة.

أشارت إلى أن عملية زيادة رأس المال نتج عنها إصدار نحو 304.96 مليون سهم عادي جديد تقريباً، وارتفع رأس مال الشركة من 315 مليون ريال إلى نحو 619.966 مليون ريال إلى جانب تسجيل علاوة إصدار بمبلغ 525.15 مليون ريال.

وكانت الخسائر المتراكمة للشركة بنهاية الربع الأول من العام الحالي قد وصلت إلى 263 مليون ريال تمثل 83% من رأسمالها قبل زيادته.
