«جلاكسو سميثكلاين» تستعد لضم «أمون للأدوية» وزيادة رأس المال إلى 835.97 مليون جنيه

  • وافقت الهيئة العامة للرقابة المالية على نشر تقرير إفصاح شركة جلاكسو سميثكلاين بشأن اندماج شركة أمون للأدوية فيها.
  • تستهدف عملية الاندماج زيادة رأس المال المصدر لشركة جلاكسو سميثكلاين ليصل إلى 835.971 مليون جنيه.
  • تتضمن العملية ترحيل مبلغ 985.527 مليون جنيه إلى حساب الاحتياطيات بالشركة الدامجة.
  • تتضمن الإجراءات تعديل المادتين 6 و7 من النظام الأساسي للشركة بما يتوافق مع هيكل رأس المال الجديد.

وافقت الهيئة العامة للرقابة المالية على نشر شركة جلاكسو سميثكلاين تقرير الإفصاح الخاص باندماج شركة أمون للأدوية فيها، تمهيدًا لدعوة الجمعية العامة غير العادية للشركة للتصويت على إتمام الاندماج وزيادة رأس المال المصدر إلى 835.97 مليون جنيه. وأوضح تقرير الإفصاح أنه وفقًا للمادة رقم 48 من قواعد قيد وشطب الأوراق المالية بالبورصة المصرية، أن عملية.
