مجلس إدارة صندوق “ميفك ريت” يوافق على زيادة أصوله بـ205.6 مليون دولار

أعلنت شركة الشرق الأوسط للاستثمار المالي “ميفك كابيتال”، مدير صندوق ميفك ريت، عن موافقة مجلس إدارة الصندوق على زيادة إجمالي قيمة أصوله بمقدار 205.6 مليون دولار (770.9 مليون ريال)، من خلال الاستحواذ على عقارين في مكة المكرمة وجدة، بعد الحصول على الموافقات النظامية اللازمة.

وأضافت الشركة في بيان على “تداول السعودية” اليوم الأحد أنها اتفقت على خفض قيمة الاستحواذ على قطعة أرض تبلغ مساحتها نحو 36 ألف متر مربع، مخصصة للتطوير العقاري مكة المكرمة إلى 80.5 مليون دولار (302 مليون ريال)، مقارنة بـ94.7 مليون دولار (355 مليون ريال) سابقاً، بانخفاض قدره 53 مليون ريال، على أن يتم سداد كامل قيمة العقار من خلال إصدار وحدات عينية للبائع.

وأفادت بتعديل اتفاقية الاستحواذ على مجمع تجاري مطور ومدر للدخل في جدة، وتم تعديل آلية سداد الثمن من خلال خفض نسبة المقابل النقدي ورفع نسبة المقابل العيني بما يعكس النسبة النهائية المتفق عليها من عدد الوحدات التي سيتم إصدارها عينياً للبائع، بالإضافة إلى تحديث المقابل النقدي المستحق للبائع مقابل الاستحواذ وتبلغ مساحة المجمع التجاري نحو 66.6 ألف متر مربع، بقيمة إجمالية 122.7 مليون دولار (460 مليون ريال)، على أن يتم سداد 98.1 مليون دولار (367.75 مليون ريال) من خلال إصدار وحدات عينية للبائع، و24.6 مليون دولار (92.25 مليون ريال) نقداً.

وسيتم تمويل المقابل النقدي لعقار جدة من حصيلة إصدار وحدات نقدية للمستثمرين بقيمة 27 مليون دولار (101.14 مليون ريال).

وأوضحت «ميفك كابيتال» أن مجلس إدارة الصندوق وافق في 10 سبتمبر 2026 على زيادة إجمالي قيمة أصول الصندوق من خلال الاستحواذ على العقارين مقابل إصدار وحدات عينية ونقدية، وذلك بعد استكمال الموافقات اللازمة.

وتتطلب عملية زيادة إجمالي قيمة أصول الصندوق الحصول على موافقة هيئة السوق المالية ومالكي وحدات الصندوق وشركة تداول السعودية، إضافة إلى أي متطلبات نظامية أخرى.

وتتوقع “ميفك كابيتال” أن يكون لإتمام الصفقة وزيادة إجمالي قيمة أصول الصندوق أثر إيجابي على الصندوق، مؤكدة أنها ستعلن عن أي تطورات لاحقة في حينها.
